Terms and Conditions
1. Definition of Terms
Web Point (Pty) Ltd is a digital agency operating from South Africa and serving clients globally. “Client” refers to the individual or company entering into an agreement with Web Point. “Agreement” refers to this document and all attached or referenced schedules and quotations.
2. Scope of Work
The Client engages Web Point as an independent contractor for the development, improvement, or maintenance of a website or digital service as outlined in their quotation or proposal. The Client authorizes Web Point to access hosting and related services required to complete the project.
3. Client Responsibilities
The Client must provide all required text, media, and information in digital format within the agreed timeframe. Web Point is not responsible for sourcing or collecting content unless otherwise stated in writing. Delays in providing material may affect delivery timelines.
4. Use of Supplied Information
By supplying any content, including text, images, branding, or business information, the Client grants Web Point permission to use such materials within their online presence where applicable — including but not limited to website design, portfolios, showcase pages, or marketing examples. Web Point will only use this information to enhance the Client’s project and digital visibility.
5. Revisions and Updates
Each project includes up to two design revisions unless otherwise stated. Additional revisions or changes outside the original scope are subject to an hourly fee. Minor text and link updates may be made within two weeks of completion at no additional cost.
6. Fees and Payment Terms
A 50% deposit is required to begin work. The balance is due upon completion and prior to launch. Hosting and domain registration fees are payable in advance. Payments must be made in South African Rand (ZAR) via EFT or other approved methods. Deposits are refundable within 24 hours of payment only.
7. Project Timeline and Completion
Web Point will complete projects in a timely manner, typically within two to three working weeks, provided all required materials are supplied by the Client. The website will go live only after final approval and full payment have been received.
8. Annual Renewals
Domain and hosting renewals are billed annually from the date of registration. Failure to make timely renewal payments may result in suspension or loss of services.
9. Intellectual Property
Upon full payment, the Client receives usage rights to the completed website design and content. All source code, templates, and proprietary tools remain the property of Web Point unless otherwise agreed in writing. Web Point retains the right to display completed work in its portfolio or case studies.
10. Limited Liability
Web Point shall not be held liable for any loss, damage, or interruption of service arising from circumstances beyond its control, including but not limited to internet outages, hosting failures, or third-party software issues. The Client is responsible for maintaining backups of their own data.
11. Indemnification
The Client agrees to indemnify and hold Web Point harmless from any claims, damages, or losses resulting from materials supplied by the Client or the Client’s use of the website.
12. Confidentiality
Web Point agrees to treat all Client information as confidential and will not disclose it to any third party without consent, except as required to perform contracted services.
13. Cancellation
Cancellation of a project must be submitted in writing. Web Point reserves the right to bill for work completed to date. Deposits are non-refundable after 24 hours. All intellectual property and materials remain the property of Web Point until full payment is received.
14. Jurisdiction
These terms are governed by the laws of South Africa. Any dispute shall be settled in the jurisdiction of Mpumalanga, eMalahleni, South Africa.
